Terms of Use

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. By using the Service, you represent that you meet these requirements and that you are not barred from using it under any applicable laws.

2. Early access and beta

The Service is offered on a limited early-access basis and may include beta or pre-release features. Such features are provided for evaluation, may be changed, suspended, or discontinued at any time, and may contain errors. We do not guarantee that the Service will be available, uninterrupted, secure, or error-free during this period.

3. Accounts and waiting list

Joining the waiting list or creating an account does not guarantee access to the Service. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding your credentials and for all activity that occurs under your account.

4. Acceptable use

You agree not to, and not to permit anyone else to:

• use the Service in violation of any applicable law or regulation;
• infringe the intellectual property or other rights of any third party;
• reverse engineer, decompile, scrape, or attempt to extract the source code of the Service, except as permitted by law;
• introduce malware or attempt to gain unauthorized access to our systems; or
• interfere with or disrupt the integrity or performance of the Service.

5. Your content and data

You retain ownership of the content, data, and materials you submit to or connect with the Service (“Your Content”). You grant us a worldwide, non-exclusive license to host, process, and use Your Content solely to operate, provide, and improve the Service. You are responsible for Your Content and represent that you have all rights and consents necessary to provide it and to connect any third-party accounts.

6. Third-party services

The Service may integrate with third-party products and services (for example, email, calendar, messaging, and code-hosting tools). Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services and do not endorse them.

7. Intellectual property

The Service, including its software, design, and trademarks, is owned by ClawMatic and its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, revocable, non-transferable license to access and use the Service for your internal business purposes.

8. Fees

Some features may be offered free of charge during early access; others may require payment. Any fees, billing terms, and refund conditions will be disclosed to you before you incur a charge and may change with notice.

9. Disclaimer of warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

10. Limitation of liability

To the maximum extent permitted by law, ClawMatic will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill. Our total liability arising out of or relating to the Service will not exceed the greater of the amounts you paid us in the twelve months before the claim or USD 100.

11. Indemnification

You agree to indemnify and hold harmless ClawMatic and its officers, employees, and agents from any claims, damages, liabilities, and expenses arising out of your use of the Service, Your Content, or your violation of these Terms.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, including if we reasonably believe you have violated these Terms. You may stop using the Service at any time. Sections that by their nature should survive termination will survive.

13. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

14. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. The courts located in Toronto, Ontario will have exclusive jurisdiction over any disputes.
